Service Agreement

1. Acceptance of Terms By clicking "Confirm," you agree to the terms and conditions set forth in this Service Agreement ("Agreement") governing the use of our application, Vitrus ("Application"). This Agreement is between Vitrus, inc.( "Company," "we," "us") and you, the user ("User," "you"). If you do not agree to these terms, do not use this Application.
2. Description of Service The Application provides AI-driven tools to assist users in designing building layouts and structures ("Service"). The Service includes access to design software, AI recommendations, and any other features we may provide. The Service is provided "as is" and is accessible via web and mobile platforms.
3. User Responsibilities You are responsible for all activities conducted under your user account. You agree to:
Use the Service for lawful purposes only and in compliance with all applicable laws.
Ensure the accuracy of materials you provide or designs you create using the Application.
Safeguard your account information and immediately notify us of any unauthorized use of your account.
4. Intellectual Property Rights All intellectual property rights in the Application and its contents are owned by us or our licensors. You may use the Service for your personal, non-commercial use only. You are not permitted to copy, modify, distribute, sell, or lease any part of our Services or included software.
5. User-Generated Content You retain all rights in and are solely responsible for the content you create using the Application. However, by using the Service, you grant us a worldwide, royalty-free license to use, display, modify, and distribute your designs in connection with the Service.
6. Privacy Policy Your use of the Application is also governed by our Privacy Policy, which is incorporated by reference into this Agreement. Please read our Privacy Policy carefully for information relating to our collection, use, and disclosure of your personal information.
7. Modification of Terms We reserve the right to modify this Agreement at any time. If we make changes, we will notify you by revising the date at the top of the Agreement and, in some cases, provide additional notice. Your continued use of the Application after such notification of changes will constitute your acceptance of such changes.
8. Limitation of Liability To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your access to, use of, or inability to access or use the Service; (b) any conduct or content of any third party on the Services.
9. Termination We may terminate or suspend your access to the Service immediately, without prior notice or liability, if we determine that you have breached this Agreement or any relevant law, regulation, or guideline.
10. Governing Law This Agreement shall be governed by the laws of the State of California, without regard to its conflict of laws principles. Any legal actions or proceedings relating to this Agreement shall be exclusively brought in the federal or state courts located in California.

12. Use of Data for Artificial Intelligence (“AI”) Training
12.1 Consent to Use Data By using the Application, you consent to the collection, processing, and use of data derived from your activity, actions, and choices made within the Application ("User Data"). This includes, but is not limited to, designs you create, options you select, and your interaction behaviors. We use this data to train and improve our AI models, enhance our Services, and develop new features.
12.2 Purpose of Data Use The purpose of collecting and using User Data is to enhance the accuracy, effectiveness, and usability of our AI-enabled tools and AI-aided computational design. Training our Artifiicial Intelligence models with real-world data helps us ensure that our technology is responsive to user needs and preferences.
12.3 Anonymization and Security We are committed to protecting your privacy and security. User Data used for AI training will be anonymized to remove any personal identifiers. We implement industry-standard data security measures to protect your data against unauthorized access, alteration, or destruction.
12.4 Data Sharing and Disclosure We may share anonymized and aggregated data with research partners or third-party service providers for the purpose of improving AI models, in compliance with our Privacy Policy. We will not share personally identifiable information with third parties for their advertising or marketing purposes without your explicit consent.
12.5 Data Retention We retain User Data used for AI training for as long as is necessary to fulfill the purposes outlined in this Agreement, unless a longer retention period is required or permitted by law.
By using our Application you acknowledge that you have read, understood, and agree to be bound by this Agreement.
